Please read these Terms of Service carefully before using PrismPoster.

1. Acceptance of Terms

By accessing or using PrismPoster ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

PrismPoster is an AI-powered content transformation platform that helps you repurpose content for multiple social media platforms including Twitter, LinkedIn, Email, Instagram, Facebook, and TikTok.

2.1 Service Tiers

• FREE Tier: Access to Twitter, LinkedIn, and Email transformations (unlimited generations)
• PRO Tier ($49/month): Includes Instagram, Facebook, TikTok + all FREE features

3. Account Registration

• You must be at least 18 years old to create an account
• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized access

4. Acceptable Use Policy

4.1 Permitted Uses

You may use PrismPoster to:

• Generate content for your own social media accounts
• Create content for clients (with PRO tier)
• Transform articles, blog posts, and original content

4.2 Prohibited Uses

You may NOT use PrismPoster to:

• Generate spam, unsolicited content, or bulk messages
• Create misleading, false, or deceptive content
• Violate copyright, trademark, or intellectual property rights
• Generate content containing hate speech, discrimination, or harassment
• Create malicious content (malware, phishing, scams)
• Violate any platform's terms of service (Twitter, LinkedIn, etc.)
• Reverse-engineer, decompile, or hack the Service
• Resell or redistribute AI-generated content as a service

5. Content Ownership and License

5.1 Your Content

You retain all ownership rights to content you submit ("Input Content"). By using PrismPoster, you grant us a limited license to:

• Process your Input Content to generate AI transformations
• Store your content for your account access
• Use anonymized data to improve our AI models

5.2 AI-Generated Content

You own all AI-generated content ("Output Content") produced by PrismPoster. However:

• We make no claims to copyright ownership
• You are responsible for ensuring Output Content complies with all laws
• AI-generated content may not be copyrightable under current law
• Similar outputs may be generated for other users from similar inputs

5.3 Brand Voice Profiles

Writing samples you provide for brand voice training are:

• Stored securely in your account
• Used only to personalize your AI outputs
• Never shared with other users or third parties
• Deleted upon account closure (after 30-day retention period)

6. Payment and Billing

6.1 Subscription Fees

• PRO Tier: $49/month, billed monthly
• Free Trial: 14 days (if applicable)
• Taxes: Prices exclude applicable sales tax, VAT, or GST

6.2 Payment Processing

• Payments processed via Stripe (PCI-DSS compliant)
• Credit card details are never stored on our servers
• Automatic renewal unless cancelled before billing date

6.3 Refunds

• 14-Day Money-Back Guarantee: Full refund if requested within 14 days of first payment
• After 14 Days: No refunds for partial months
• Cancellation: Access continues until end of billing period

6.4 Failed Payments

• We will retry failed payments 3 times over 14 days
• You will be notified via email after each failed attempt
• Account downgraded to FREE tier if payment not resolved

7. Cancellation and Termination

7.1 Cancellation by You

• You may cancel anytime via Account Settings or Stripe Customer Portal
• No refunds for partial months
• Access to PRO features continues until end of billing period
• Downgrade to FREE tier after cancellation

7.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or Acceptable Use Policy
• You engage in fraudulent activity or payment disputes
• You abuse the Service (excessive API usage, spam)
• Required by law or court order

7.3 Data Retention After Cancellation

• 30 Days: Content and brand voice profiles retained (reactivation period)
• After 30 Days: All data permanently deleted (except as required by law)
• Export Your Data: Download before cancellation via Account Settings

8. AI Disclosure and Limitations

8.1 AI-Generated Content Disclosure

All content produced by PrismPoster is generated using Google Gemini AI. You acknowledge:

• AI may produce inaccurate, biased, or inappropriate content
• You are responsible for reviewing and editing all outputs
• PrismPoster is not liable for AI-generated content errors
• You must disclose AI usage where required by law or platform policy

8.2 No Guarantees

• We do not guarantee factual accuracy of AI outputs
• We do not guarantee copyright-free content
• We do not guarantee platform approval (social media may reject AI content)

9. Intellectual Property

• PrismPoster name, logo, and branding are our trademarks
• The Service software, design, and algorithms are proprietary
• You may not copy, modify, distribute, or reverse-engineer our platform

10. Disclaimers and Limitation of Liability

10.1 Service "As-Is"

PrismPoster is provided "as-is" without warranties of any kind, including:

• No warranty of uninterrupted or error-free service
• No warranty that AI outputs will meet your expectations
• No warranty against security breaches or data loss

10.2 Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not liable for third-party service failures (Gemini API, Stripe, etc.)

11. Indemnification

You agree to indemnify and hold PrismPoster harmless from claims arising from:

• Your use of AI-generated content
• Your violation of these Terms or Acceptable Use Policy
• Your violation of third-party rights (copyright, defamation, privacy)

12. Third-Party Services

PrismPoster integrates with:

• Google Gemini API: AI content generation (subject to Google's terms)
• Stripe: Payment processing (subject to Stripe's terms)

Your use of these services is subject to their respective terms and privacy policies.

13. Governing Law and Dispute Resolution

• Governing Law: The laws of the Federal Republic of Germany
• Jurisdiction: The courts of Trier, Germany shall have exclusive jurisdiction
• EU Dispute Resolution: The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr

14. Changes to Terms

We may update these Terms periodically. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated via email. Continued use constitutes acceptance.
