Terms of Service

1. Acceptance of terms

By creating an account, accessing, or using PrismPoster (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by PrismLabs OÜ, a limited liability company registered in Estonia ("we," "us," or "our").

2. Service description & use

2.1 License to use

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or internal business purposes, subject to these Terms.

2.2 AI content generation

The Service utilizes Artificial Intelligence (AI) to generate images, video, music, and other media. You acknowledge that:

• Accuracy: AI may produce content that is inaccurate, offensive, or hallucinated. You are responsible for reviewing all generated content before exporting it or publishing it to community surfaces.
• Originality: AI generation is probabilistic. We cannot guarantee that content generated for you will not be similar to content generated for other users.
• Ownership: As between you and us, you own the inputs you provide. For generated outputs, we pass through to you whatever rights the underlying AI provider grants for that output, to the extent permitted by law. We make no representation that AI-generated output is protectable by copyright or free of third-party rights, and your right to use an output is subject to the terms of the AI provider that produced it and to your warranties in Section 2.4.
• Provenance marking: content you export from the Service carries embedded machine-readable AI-provenance metadata, and video rendered through the timeline editor additionally carries a cryptographic C2PA signature. These markings are machine-readable only; the Service does not apply a visible AI label to exported content. You agree not to remove, obscure, or misrepresent the markings the Service applies, and you remain responsible for any human-facing disclosure that the law of your jurisdiction — including EU AI Act transparency rules — requires when you publish or otherwise make AI-generated content available to others.

2.3 Prohibited uses

You agree not to use the Service to:

• Generate child sexual abuse material (CSAM) or non-consensual sexual content.
• Generate hate speech, harassment, or content that promotes violence.
• Violate the intellectual property rights of others.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to build a competing product.

Violation of these rules will result in immediate account termination. See our Acceptable Use Policy for details.

2.4 Publishing to the PrismPoster community

You may opt to publish content you create on PrismPoster to our community surfaces (including /discover, public creator profiles, and music charts). Publishing is one lever; broadcasting on PrismRadio (our 24/7 radio with simulcasts to YouTube Live and Twitch) is a separate, explicit opt-in you control per track. Publishing a track does not place it on PrismRadio unless you also opt it into broadcast.

By publishing content to the PrismPoster Community, you grant PrismPoster a non-exclusive, royalty-free, worldwide license to publicly display, showcase, and transmit the content and associated metadata for the duration of its publication. When you additionally opt a track into PrismRadio broadcast, you extend that license to publicly perform, broadcast, and simulcast the track (including via YouTube Live and Twitch) for as long as the broadcast opt-in remains enabled. You may revoke the broadcast license at any time by turning off PrismRadio broadcast for the track, and revoke the publication license entirely by unpublishing the content via your library or content settings.

Monetization. PrismRadio and its YouTube Live and Twitch simulcasts may be monetized by PrismPoster — for example through platform advertising, channel memberships, or subscriptions. The broadcast license you grant is royalty-free: you are not entitled to any share of that revenue or to other compensation for tracks you opt into broadcast. Broadcasting is optional and off by default — you can publish a track without broadcasting it, and you can turn broadcast off for any track at any time.

You represent and warrant that you have all rights necessary to grant this license, including any rights required by the AI provider used to generate the content. You retain ownership of your content and may continue to use it elsewhere; this license is purely permissive of our community-surface uses.

Other community members may engage with your published content via likes, comments, follows, and saves. You can manage interactions on your content (hide comments, block users) and remove your content from the community at any time. Reports of policy violations are reviewed by our moderation team; three or more unique reports on a single piece of content auto-pulls it pending review.

2.5 Copyright notices

If you believe content on PrismPoster infringes your copyright, send a notice to dmca@prismposter.com with enough information for us to identify the copyrighted work, locate the material, and contact you. Our operational target is to review complete copyright notices within 72 hours and remove or disable access to material where appropriate.

2.6 Creator Cast and biometric features

If you use Creator Cast or other consent-backed real-person features, you provide a capture of your face and voice so the Service can build a verified digital double and generate content at your request. Use of these features requires the separate, explicit consent captured in the feature flow. Your likeness is used only to generate content you request, and biometric data is retained and deleted as described in our Biometric Data Policy, which is incorporated into these Terms by reference. Broadcasting tracks you create is optional and governed by our Broadcast Policy, also incorporated by reference.

2.7 Partner program

If you apply to and are accepted into our creator/streamer partner program, the following terms apply in addition to these Terms. Applications are reviewed and acceptance is at our discretion. Full details are in the Partner Program Terms, incorporated here by reference.

• Commissions. You earn a share of what each customer you refer actually pays for their subscription, on a limited number of their invoices, tracked and paid by us directly. Commissions accrue only on completed, non-refunded payments, and are held before becoming payable.
• Clawback. A commission is reversed if the referred purchase is refunded, charged back, or withdrawn — including under the statutory withdrawal right in Section 3.3 — or if it resulted from prohibited promotion.
• Promo codes. You may claim one self-named promo code that gives your referred customers a discount on their first payment on a monthly plan. We may revoke codes and are not obligated to honor codes that conflict, mislead, or are abused.
• Required disclosure. You must clearly disclose the paid partnership whenever you promote PrismPoster, as required by advertising rules (including the U.S. FTC, UK ASA, and EU law).
• Prohibited methods. No self-referral, coupon-site posting, brand keyword bidding, spam, or misrepresentation of PrismPoster. We may suspend or terminate a partner account and withhold fraudulently earned commissions.
• Relationship. The partner program does not make you our employee, agent, or joint venturer. It is separate from any credits-based referral rewards, which are promotional and carry no cash value.

3. Subscriptions & payments

3.1 Billing

Paid features are available via subscription (billed in advance on a monthly or annual basis) and via one-time credit packs, including optional automatic top-ups. All payments are processed securely by Stripe. Credits are usable only within the Service, are non-transferable, and have no cash value except as provided by your statutory withdrawal right in 3.3. Promotional or referral bonus credits are granted free of charge, are never refundable, and may be revoked in cases of abuse.

3.2 Cancellation

You may cancel your subscription at any time via your account settings. Access continues until the end of the current billing cycle. Outside the 14-day withdrawal period described in 3.3, we do not provide refunds for partial billing periods.

3.3 Right of withdrawal & refunds (EU/EEA consumers)

If you are a consumer in the EU/EEA, you have a statutory right to withdraw from a purchase within 14 days of the day it is concluded, without giving any reason. This right cannot be shortened, and any conflicting term does not apply to you. Within 14 days of purchase you can request a refund: unused credits are refunded in full to your original payment method, and a subscription is refunded for the unused remainder of the period. Only the part you have actually used is deducted — never the unused balance. Unused credits are refundable within 14 days of purchase, in cash to your original payment method. If you have used some credits, the still-unused balance is refunded; credits already spent on a generation are not.

Where you asked us to start a subscription or to make your credits available immediately during the withdrawal period, an in-window refund is reduced in proportion to what you have already used; credits you have already spent on a generation are not refunded. If you did not give that acknowledgment at checkout, an in-window withdrawal is refunded in full. After the 14-day period, the cancellation terms in 3.2 apply.

3.4 Price changes

We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

4. Intellectual property

The Service, including its "PrismPoster" name, logo, design, code, and architecture, is our exclusive property and is protected by copyright, trademark, and other laws.

5. Limitation of liability

Please read this section carefully.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PrismLabs OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE SERVICE;
• ANY AI-GENERATED CONTENT THAT IS INACCURATE OR INFRINGING;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED EUROS (€100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, and nothing limits any rights you have as a consumer under the mandatory law of your country of residence. The exclusions and cap above apply only to the extent permitted by that law.

6. Indemnification

You agree to defend, indemnify, and hold harmless PrismLabs OÜ and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your violation of these Terms or your use of the Service.

7. Governing law and language

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Tallinn, Estonia.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law gives you that right, you benefit from the mandatory consumer protections of, and may bring proceedings in the courts of, your country of residence; nothing above deprives you of that right.

These Terms are concluded in English, and the English version is the authoritative one. Parts of the Service are available in other languages, and any translation of these Terms is provided for convenience only; if a translation and the English version conflict, the English version governs. Where the mandatory law of your country of residence entitles you to receive contract terms in your own language, or to rely on a translation we provided, that right is unaffected.

8. Changes to terms

We may modify these Terms for valid reasons — for example changes in law, new or changed features, or security. For material changes we will give you at least 30 days' notice by email or in-product notice before they take effect; if you do not agree, you may stop using and terminate your account before the changes take effect. Non-material changes (such as clarifications) take effect when we post the modified Terms here and update the "Last updated" date.
